Terms of Service — Nivo CRM by Synergy Solutions

These Terms of Service govern your use of Nivo CRM (web platform and Android app) provided by Synergy Solutions. By using the Service you agree to these Terms.

1. Description of Service

Nivo CRM is a B2B customer relationship management platform for Indian real estate developers and brokers, including lead management, call tracking, WhatsApp messaging (AiSynergy), inventory, post-sales, and reporting tools.

2. Eligibility

You must be 18+ and represent a business entity.
Provide accurate registration information.
Maintain confidentiality of login credentials.

3. Acceptable Use

Use Nivo CRM only for lawful business purposes. You may not: send spam WhatsApp messages, reverse engineer the platform, share credentials externally, or violate the DPDP Act 2023.

4. WhatsApp Messaging

WhatsApp messaging is via AiSynergy (META-certified WABA by Synergy). You must message only contacts who have given consent. Comply with Meta WhatsApp Business Policy.

5. Data & Privacy

Use is also governed by our Privacy Policy. Data is stored on Firebase (Mumbai, India). We do not sell data.

6. Payment & Subscription

Monthly or annual billing per user seat, exclusive of GST.
Subscriptions auto-renew unless cancelled before renewal.
No refunds for partial months. Cancellation effective at billing period end.
Pricing changes notified 30 days in advance.

7. Android App Permissions

The Nivo Android app requests READ_CALL_LOG, CALL_PHONE, SYSTEM_ALERT_WINDOW, and other permissions required for Smart Calling Suite features. See Privacy Policy for details.

8. Intellectual Property

Nivo CRM and all related software, design, and content are the intellectual property of Synergy Solutions. A limited non-exclusive licence to use is granted to you. No copying or creating derivative works without written permission.

9. Service Availability

We aim for high availability but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance. We are not liable for business losses from temporary unavailability.

10. Limitation of Liability

Our total liability for any claim shall not exceed your subscription fees paid in the three months preceding the claim. We are not liable for indirect or consequential damages.

11. Termination

We may suspend or terminate accounts for Terms violations or non-payment. On termination, data is retained 30 days for export then deleted.

12. Governing Law

These Terms are governed by the laws of India. Disputes are subject to exclusive jurisdiction of courts in Nashik, Maharashtra.

13. Changes

Material changes notified via email or in-app notification. Continued use constitutes acceptance.
